sRXUSD Access and Staking Services — Pi Technologies Ltd.

These Terms and Conditions ("Terms") govern access to and use of the staking, unstaking, minting, redemption, and related functionality associated with sRXUSD (collectively, the "sRXUSD Services") made available by Pi Technologies Ltd. (hereafter, "STBL") through the RXUSD website, interface, protocol access points, APIs, and related services (collectively, the "Interface").

By accessing or using the Interface or the sRXUSD Services, any person, entity, or wallet address ("User") acknowledges and agrees to be bound by these Terms and any applicable eligibility, compliance, or operational requirements implemented by STBL from time to time.

General Information

RXUSD is a decentralized digital asset. sRXUSD is a restricted-access asset associated with yield-bearing or staking-related functionality made available only to eligible users and eligible blockchain wallet addresses.

The Interface is provided solely as a technical interface to decentralized smart contracts and protocol infrastructure.

Nothing contained on the Interface constitutes:

  • (a)investment advice;
  • (b)financial product advice;
  • (c)a solicitation to purchase securities;
  • (d)an offer directed to any person in a restricted jurisdiction; or
  • (e)a recommendation or endorsement of any digital asset.

Restricted Jurisdictions

The sRXUSD Services are not offered, marketed, promoted, or made available to persons located, incorporated, resident, domiciled, or ordinarily resident in:

  • (a)the United States of America;
  • (b)Australia; or
  • (c)any other jurisdiction where access or use of the sRXUSD Services would violate applicable law or regulation.

Users located in Restricted Jurisdictions are prohibited from:

  • (a)accessing the sRXUSD Services;
  • (b)staking or unstaking RXUSD into or out of sRXUSD;
  • (c)interacting with sRXUSD-related functionality through the Interface; or
  • (d)representing themselves as eligible users.

The Interface may implement geofencing, wallet restrictions, sanctions screening, or other compliance controls to restrict access.

Eligible Users and Whitelisting

Access to staking and unstaking functionality relating to sRXUSD is restricted to approved blockchain wallet addresses that have completed required eligibility verification procedures.

Users acknowledge and agree that:

  • (a)staking and unstaking functionality may only be accessed by approved and whitelisted wallet addresses;
  • (b)the protocol or Interface operator may require identity verification, sanctions screening, residency verification, wallet verification, source-of-funds checks, or other compliance procedures;
  • (c)access may be suspended, denied, revoked, or restricted at any time where eligibility requirements are not satisfied; and
  • (d)wallet addresses that are not approved or whitelisted may be technically restricted from staking, unstaking, redeeming, transferring, or interacting with sRXUSD functionality.

Assumption of Risk

By accessing or using RXUSD and sRXUSD Services, Users acknowledge and accept all risks associated with blockchain technology, smart contracts, staking mechanisms, vault strategies, validator performance, market volatility, cyber incidents, protocol exploits, depegging events, and potential partial or total loss of digital assets.

Users further acknowledge that digital asset transactions are inherently risky and that participation in decentralized finance protocols may result in financial losses. STBL does not guarantee the security, value, stability, or performance of any digital asset or protocol functionality.

Smart Contract and Protocol Disclaimer

The Interface for RXUSD and sRXUSD Services operate through decentralized smart contracts, blockchain infrastructure, validators, third-party protocols, and related technologies that may be subject to bugs, exploits, downtime, delays, congestion, or failures.

STBL does not warrant that the Interface or protocol infrastructure will operate uninterrupted, error-free, or securely at all times. Users acknowledge that interactions with smart contracts and blockchain networks occur at their own risk.

Non-Custodial Nature of Services

STBL acts solely as a decentralized application interface and vault infrastructure provider and does not custody user assets, control private keys, operate user wallets, or act as a fiduciary, trustee, broker, custodian, financial institution, or investment adviser.

Users retain sole control over their wallets, credentials, and digital assets at all times. STBL shall not be responsible for any loss arising from compromised wallets, private keys, or unauthorized access.

Transaction Finality

Users acknowledge that blockchain transactions, including staking, unstaking, minting, redemption, and transfers, may be irreversible once submitted to the applicable blockchain network.

STBL does not guarantee recovery of assets lost due to incorrect wallet addresses, user errors, protocol interactions, smart contract execution, or unauthorized transactions. Users are solely responsible for verifying all transaction details prior to submission.

Intellectual Property

All intellectual property rights relating to the Interface, APIs, protocol documentation, software, trademarks, branding, content, and related materials made available by STBL shall remain the exclusive property of STBL or its licensors.

Subject to compliance with these Terms, STBL grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Interface solely for lawful personal or internal business purposes.

No Liability

To the fullest extent permitted under applicable law, STBL shall not be liable for any losses, damages, liabilities, claims, or expenses arising directly or indirectly from:

  • (a)use of or inability to access the Interface for RXUSD and/or sRXUSD Services;
  • (b)smart contract failures, exploits, hacks, or protocol vulnerabilities;
  • (c)blockchain network disruptions, validator failures, bridge failures, or third-party service interruptions;
  • (d)unauthorized wallet access, compromised credentials, or user errors; or
  • (e)fluctuations in the value, liquidity, or availability of digital assets.

Users acknowledge that all interactions with decentralized protocols are undertaken at their sole risk.

Indemnification

Users agree to indemnify, defend, and hold harmless STBL, its affiliates, contributors, officers, employees, and service providers from and against any claims, liabilities, damages, losses, penalties, costs, and expenses arising out of or relating to:

  • (a)the User's use of the Interface for RXUSD and/or sRXUSD Services;
  • (b)breach of these Terms;
  • (c)violation of applicable laws or sanctions requirements; or
  • (d)infringement of third-party rights.

This indemnity obligation shall survive termination of these Terms.

User Representations and Warranties

By accessing or using the Interface for RXUSD and/or sRXUSD Services, each User represents, warrants, and undertakes on a continuing basis that:

  • (a)the User has full legal capacity, authority, and right to enter into and comply with these Terms and, where applicable, is duly organized and validly existing under the laws of its jurisdiction of incorporation or establishment;
  • (b)the User's access to and use of the Interface for RXUSD and/or sRXUSD Services does not and will not violate any applicable law, regulation, sanctions restriction, court order, contractual obligation, or internal policy applicable to the User;
  • (c)the User is not located, incorporated, resident, domiciled, or otherwise subject to any Restricted Jurisdiction and is not a sanctioned person or acting on behalf of any sanctioned person, entity, or prohibited jurisdiction;
  • (d)all information, documents, wallet details, compliance disclosures, and other materials provided by the User to STBL are true, accurate, complete, current, and not misleading, and the User shall promptly notify STBL of any material change to such information;
  • (e)the User is the lawful owner of, or is otherwise authorized to use, the digital assets, wallets, credentials, and blockchain addresses used in connection with the RXUSD and/or sRXUSD Services and that such assets are not derived from unlawful activities;
  • (f)the User understands and accepts the technological, operational, regulatory, financial, and cybersecurity risks associated with blockchain technology, decentralized finance protocols, staking mechanisms, vault operations, smart contracts, validators, and digital assets generally;
  • (g)the User acknowledges that STBL does not provide investment, financial, legal, tax, brokerage, fiduciary, or custodial services and that the User has independently assessed the suitability and risks of using the RXUSD and/or sRXUSD Services;
  • (h)the User shall not use the Interface for RXUSD and/or sRXUSD Services for any unlawful, fraudulent, abusive, manipulative, deceptive, or unauthorized purpose, including money laundering, terrorist financing, sanctions evasion, market manipulation, or activities that may impair the integrity or security of the protocol;
  • (i)the User shall not interfere with, disrupt, exploit, reverse engineer, circumvent, or attempt unauthorized access to the Interface, smart contracts, vault infrastructure, APIs, or related protocol systems;
  • (j)the User is solely responsible for maintaining the confidentiality and security of its wallets, private keys, credentials, devices, and access methods and acknowledges that STBL shall not be liable for any unauthorized access, theft, compromise, or loss arising therefrom;
  • (k)the User understands that blockchain transactions are irreversible and that STBL cannot reverse, recover, or modify transactions once executed on the applicable blockchain network; and
  • (l)the User shall comply with all applicable tax, reporting, exchange control, anti-money laundering, sanctions, and regulatory obligations arising from or relating to the use of the Interface for RXUSD and/or sRXUSD Services.

The foregoing representations and warranties shall be deemed repeated each time the User accesses or uses the Interface for RXUSD and/or sRXUSD Services.

Confidentiality

Users acknowledge that, in connection with access to the Interface for RXUSD and/or sRXUSD Services, they may receive or obtain access to certain non-public, proprietary, technical, operational, compliance, security, or business information relating to STBL, the protocol, vault operations, or related infrastructure ("Confidential Information").

Users agree to maintain the confidentiality of such Confidential Information and not to disclose, reproduce, or use such information except as strictly necessary for lawful use of RXUSD and/or sRXUSD Services. This obligation shall not apply to information that is publicly available other than through a breach of these Terms or is required to be disclosed under applicable law or regulatory requirement.

Vault Operations and Yield Disclosure

Users acknowledge that RXUSD and/or sRXUSD-related vaults, staking strategies, and yield mechanisms may involve third-party validators, decentralized protocols, liquidity strategies, and algorithmic operations.

Any yield, reward, or return displayed through the Interface is indicative only and may fluctuate or cease entirely. STBL does not guarantee any minimum return, profit, or preservation of asset value in connection with vault participation or staking activities.

Suspension and Restricted Access

STBL reserves the right, at its sole discretion and without prior notice, to suspend, restrict, block, or terminate access to the Interface for RXUSD and/or sRXUSD Services where required for legal, regulatory, sanctions, security, operational, governance, or risk management purposes.

Such restrictions may include wallet blocking, suspension of staking or redemption functionality, or temporary protocol limitations in response to suspected exploits, emergencies, or compliance concerns.

Third-Party Services and Infrastructure

The RXUSD and/or sRXUSD Services may rely on third-party blockchain networks, validators, custodians, bridges, APIs, oracle providers, liquidity providers, and other external infrastructure.

STBL neither owns nor controls such third-party services and disclaims all liability arising from their acts, omissions, failures, insolvency, downtime, security incidents, or operational disruptions. Users acknowledge that third-party dependencies may materially affect protocol functionality and asset accessibility.

Taxes

Users are solely responsible for determining, reporting, and satisfying any tax obligations arising from their use of the Interface for RXUSD and/or sRXUSD Services, including staking rewards, vault participation, minting, redemption, or digital asset transactions.

STBL does not provide tax, accounting, or legal advice and shall have no responsibility for any tax liabilities incurred by Users in connection with the Services.

Governing Law and Dispute Resolution

In the event of any dispute, controversy, claim, or conflict arising out of or in connection with these Terms, including any question regarding its existence, validity, interpretation, performance, or termination, the User and STBL shall first attempt to resolve such dispute amicably through good faith negotiations.

Either party may initiate such negotiations by providing written notice to the other party describing the nature of the dispute. If the parties fail to resolve the dispute amicably within thirty (30) days from the date of receipt of such notice, such dispute shall be finally resolved by the competent courts of the British Virgin Islands, and the parties hereby submit to the exclusive jurisdiction of such courts.

These Terms shall be governed by and construed in accordance with the laws of the British Virgin Islands, without regard to its conflict of law principles.

Amendments and Protocol Modifications

STBL reserves the right to modify, update, suspend, discontinue, or replace any aspect of the Interface, protocol mechanics, vault structures, supported assets, eligibility requirements, or these Terms at any time.

Any changes to or modifications of these Terms will be in effect as of the "Last Updated Date" referred to at the top. Continued access to or use of the RXUSD and/or sRXUSD Services following any modification shall constitute acceptance of the revised Terms. Users are responsible for reviewing the Terms periodically for updates.
